Corporate Governance
Effective corporate governance is a fundamental aspect of SAIC's identity. Our governance framework ensures that we consistently prioritize the interests of shareholders, employees, customers, and stakeholders. More than merely meeting regulatory requirements, our governance practices are built on a commitment to always act with integrity.
 
Board of Directors
SAIC's Board of Directors provides oversight and direction for our corporate strategy, risk management, operations, and reporting. Their responsibilities are outlined in key documents such as the Corporate Governance Guidelines and Code of Conduct. Our Board consists of 11 members, with 10 being independent. Donna Morea, a non-executive director, serves as Chair of the Board. SAIC champions diversity, with 45.5% of Board members identifying as women and 54.5% as men. Additionally, four members come from underrepresented racial or ethnic groups, including African American, Hispanic/Latinx, and multiracial identities. The remaining eight members identify as white.
 
The Board combines a wide range of expertise and perspectives, working cohesively to serve the interests of all stakeholders while aligning with the company's shareholder goals. They adhere to stock ownership guidelines, with non-employee directors receiving annual equity grants.
 
Board members maintain accountability and uphold ethical standards by regularly evaluating their performance. This is done through:
